Again me,
problem is solved: I use zsh as shell and /bin/sh was a symlink to
/bin/zsh. Problem is that all initramfs-tools/hooks/* is using !/bin/sh,
building of initramfs finished without error but in verbose mode I saw
bad syntax on all hooks!

I face a similar problem using an eeepc touch with kernel 3.2.0-27-generic i386
architecture (intel ATOM) from lubuntu 12.04. This kernel boot fine.
On the other hand, if I boot the 3.2.0-29 generic it fail with kernel
panic saying "no init found try adding init=option to kernel"

Probably I made some mistakes (sorry!) in previous tests, thinking that
installing headers was simply done by installing (and not previously
deinstalling old version) a newer version on top of the old one. The

Yes, it works. I'm sure that I used "sudo update-grub" after installing
v4 of kernel. And... yes, I did not see the menu of grub2. But, loading
manually 3.2.0-24 and running again "sudo update-grub" resulted in full
restore of grub2 functionality.
Moreover, V4 boots. I'm using it, right now.

2.6.32-32: same as 3.2.0-25 (panic).
2.6.35-30: no panic, but no kernel found. It is possible to go back to grub2
