Francis,

This one has been answered before and is probably in the archives.  In
case you can't find it, I'll give what I can.  For the record, I was
in your shoes about 1 year ago.  I was going to get MF and Pentax, but
was comparing the 645n to the 67II.  I was fortunate that my local
shop carried both so I could compare them.

If you can, you should go handle and use them both.  They are quite
different in style and handling and that alone may convince you as to
the best choice.  I tried them about 12 different times in the store.

Some things to consider:
Why are you going to MF?  On pure image quality the 67 has the bigger
negative.  The 645 is smaller and quicker to handle.

What is your shooting style? The 67ii is most like a big LX.  Manual
wind, manual focus, Aperture priority and manual meter, Matrix/center/spot metering,
TTL flash.  The 645 is most like a ZX-5n. Auto winder, Autofocus,
Program/Aperture/shutter priority and manual, Matrix/center/spot
metering.  If you like the old style of cameras and handling then you
might like the 67, if you like all the automation of the new cameras
then you will probably like the 645.

What are your intentions with your 35mm gear?  Using the 67, it is
pretty obvious when 35mm is the better choice - speed of handling,
light weight needs, AF, etc.  So with 67, you will probably use a
complementary 35mm system.  The 645, however, can just about do what
the 35mm can do save for DOF with macros and really long glass.  You
might just as likely use the 645 exclusively.  After seeing big negs,
you will not want to use 35mm from that perspective.

So as for me, after really soul searching, and trying both cameras
many times and talking with people who had used them, I chose the
67ii.  I tend to shoot more manually or aperture priority, liked
better the style and handling of the 67ii and wanted the bigger
negative (that's why I went to MF).

On the plus side, both systems are great and you can't pick a bad one.
 Examine your shooting style and desires and then really try them
 both.  They are different from each other and your choice may become
 quite clear.  Each of us on the list who have one or the other will
 be biased.  I can't urge you strong enough to try them both.
