that did it -- creating an initrd.img for 2.4.20-2.2 which contained
absolutely no loadable modules fixed the problem.

so the rule is, you can use "root=LABEL=/" in your /etc/grub.conf
file *only* if you have an initrd.img file.  otherwise, you need
the /dev name.  

there is no way in heck i would have ever thought of that.
