You can try 'mbxcvt' which is part of the imap-utils package located at:

ftp://ftp.cac.washington.edu/mail/

I've used this tool several times to take an mbox style mailbox given to
me by Mark Crispin and push it into my Cyrus server for testing
compatibility of SORT/THREAD.  I haven't been too concerned with the
flags, but I'm *pretty* sure that it does preserve them.
