Depending on what an employee does it can end up being a conflict of interest. The example I gave of ebay employees starting their own auction site is that sort of example. A lawyer representing both sides in a case would be another. I don't think any decent lawyer would do this sort of thing. This only applies if the job is that sort of thing. If someone is a janitor then janitor'ing somewhere else won't matter that much.
