For me updating to 3.3.0-030300-generic kernel solves the problem. With 3.3.0 I'm able to suspend and resume successfully.
When entering suspend with 12.04 beta2 kernel, the power key led stays on. With 3.3.0 kernel it blinks on suspend. With standard Ubuntu 12.04 beta2 kernel the restore tries a few times (I can hear from fan going on and off) and then stops in a state where display and USB keyboard and mouse are not working but CPU fan is spinning.
