Suspect this is an upstream kernel bug as it also fails in the same way
using a knoppix 3.7.1 live cd with kernel 3.0.4

** Description changed:

- After upgrade from Natty to Oneiric, kernel fails to start. Using ro text
debug photographed trace info, which shows
- Code: bad EIP value.

acpi=off allows system to boot, as does nolapic but only one processor out of
2 shows
running Natty as live CD works, and shows 2 processors
  other noacpi parameters failed.
  latest available BIOS installed
- removed sound card, changed video cars and monitor no difference.
