I have updated my BIOS to the latest (1006) from ASUS for my A7S333 motherboard 
by following this guide: 
http://gentoo-wiki.com/TIP_Boot_Floppydisk_Image_without_Floppy_using_GRUB
I then added acpi=force to the kernel boot options:

title           Ubuntu, kernel 2.6.20-15-generic
root            (hd0,0)
kernel          /boot/vmlinuz-2.6.20-15-generic 
root=UUID=c33301cb-639d-47b7-b2f0-c7309a0f72cf ro quiet splash acpi=force
initrd          /boot/initrd.img-2.6.20-15-generic
quiet
savedefault

However it still isn't shutting down like it used to.  I'm thinking of trying a 
live CD from another distro to see if it shuts down so I can truly pin the 
problem on software not hardware.
Any other ideas?
