Yea, same here, if I let it reboot after it rebooted by itself, it works
fine.

I've just tried :
- updating bios to last version -> same result
- enabled memory test at startup -> same result (in case of reboot, then it 
will reboot during the test, which takes more than 1 minute)
- removing nvidia drivers -> same result
- safe mode (as you did) -> same result
- disabled some elements (network/integrated audio) in the bios -> same result
- removing all USB devices -> same result

I've also tried inserting a 'sleep' in the last shutdown script
(/etc/rc0.d/S90Halt) to see screen messages, but everything seems ok in
the screen log
