I also have this problem, and thought it started occuring at about 2.6.20-13. It definitely didn't happen when I first installed Feisty Beta. And yet when I boot with (still-installed) kernel 2.6.20-12 generic (package: linux-image-2.6.20-12-generic), it fails to shutdown.
I'm new to Ubuntu (Fedora expat), but perhaps it's not a kernel issue?
