I have an identical problem. (I am running lucid netbook edition with 2.6.32.22)
I assumed that the bug occurred due to my changing the buttons on my program title bar(changed from mac style to windows) or by introducing workspaces(both done through gconf-editor). However, i do not know this for sure. The top panel disappears whenever there is a change in the windowing system(opening/closing windows causes it to disappear) but all the underlying buttons and applets are still there and can be clicked. Also some small alert windows do not appear (including the window-switching applet, and the shut down applet). Similar to the change above(switching themes) one workaround that makes them appear back on my laptop is pressing the power button, which brings up the shut down window(but which like the top panel is invisible). On pressing <Escape> key with the shut down window focused, the top panel reappears.
