rubab,
is this 100% repeatable? for me, sometimes suspend works, sometimes not.

This is /var/log/messages from a successful suspend
Dec 13 12:25:23 localhost gnome-power-manager: (frogzoo) Suspending computer
because the lid has been closed on battery power
Dec 13 12:25:34 localhost kernel: [17217369.244000] ACPI: PCI interrupt for
device 0000:02:08.0 disabled
Dec 13 12:25:34 localhost kernel: [17217369.444000] ACPI: PCI interrupt for
device 0000:02:0b.0 disabled
Dec 13 12:34:03 localhost kernel: [17217373.072000] Freezing cpus ...
Dec 13 12:34:03 localhost kernel: [17217373.072000] Stopping tasks:

This is /var/log/messages from an unsuccessful suspend (which leaves the
computer at the screensaver login prompt).
Dec 13 13:01:24 localhost gnome-power-manager: (frogzoo) Suspending computer
because the lid has been closed on battery power

Dec 13 13:10:22 localhost kernel: [17219529.768000] Stopping tasks:

The culprit line is
Dec 13 13:10:22 localhost gnome-power-manager: (frogzoo) Resuming computer

For some reason, after the lid switch starts off the suspend, the gnome-
power-manager kicks in and starts a resume.

OS: edgy 2.6.17-10-generic
gnome-power-manager 2.16.1-0ubuntu3
