With Optiplex 740, i've successfull install ubuntu 14.04 from livecd.
This is how :
No need to upgrade BIOS.
Create your boot live cd AND a boot live usbkey with the exact same
distribution.
And it woks for me.

Kemel Zaidan aka Legendario, thank you for your comment. So your hardware and
problem may be tracked, could you please file a new report with Ubuntu by
executing the following in a terminal while booted into the default Ubuntu
kernel (not a mainline one) via:
ubuntu-bug linux

I'm hopeless since I don't have a "C state" option under the Performance
menu on the BIOS setup, and could not add the "mem=1G" on the 14.04 live
image.
My bios revision is 1.2.2

Can you boot on the LiveCD without "mem=1G" and without the "quiet" and
"splash" options? This will print boot messages to the screen. If you
