Until few minutes ago, I was stumbling on the same error message
during boot, in the way that you describe. Prompted by your post I set
out to fix it and the message is now gone. But I cannot tell that I
understand myself what was causing it. All I did was update
/etc/init.d/boot and /etc

Since I upgraded my Debian 1.2 system to Debian 1.3.1 I get the following
message during the boot:
modprobe: /proc/modules: No such file or directory
Apart from that, everything seems just fine, and /proc/modules exists (I
can use cat to read its contents after the boot has completed).
