what does ifconfig show during the down time?  Is there something REALLY big
running that could be using all the CPU.  I can't imagine what could do that but
hey I had to ask.

does the machine seem to be ok other than the dead interfaces?  I am no guru but
maybe I can get you started.

Also you might try the Linux-net list at I think rutgers.edu shold not be too
hard to find.  Thise guys are pretty good too.
