Depends on the code. I haven't met many folks that have been satisfied with their test migrations from Apache 1.3.x to Apache 2.0.x, myself included. I've been very disappointed in the state of 3rd party module ports, particularly mod_perl. If I were you, I'd compile Apache 1.3.x and your modules from source (assuming you're using Apache at all, you didn't specify).
