with shadow passwords on, i use:

-rw-r--r--   1 root     root          522 Mar 16 23:07 /etc/group
-rw-r--r--   1 root     root         1188 Mar 16 23:07 /etc/passwd
-r--------   1 root     root          841 Mar 16 23:07 /etc/shadow

 ... and make sure that /usr/bin/passwd is suid root - ditto for su.
