It's bee awhile since I used 3.0.3, so I'm sure I'm missing something.

The default Sendmail configuration has changed substantially.  You'll want
to carefully review it and will very likely have to make significant
changes.  Of particular interest, the default Sendmail set-up prohibits
*all* relaying.  You probably don't want such a strict set-up.

The Apache set-up hasn't changed too much.  I believe the Apache
package with RHL 5.0 doesn't include all of the CGI scripts that the
3.0.3 package did.  If you rely on the Apache-provided CGI scripts,
this will be something you want to look into.

You shouldn't have any problems with your shadow passwords.  3.0.3 didn't
include shadow password support, so you probably installed Cristian
Gafton's shadow RPMs or you installed the official distribution yourself.
Whatever the case, the shadow password file format is well established
and hasn't changed.

The directory layout for the entire system has changed substantially.
If you have any home-brewed shell scripts, you'll want to review them
to make sure that the file specifications they use are still valid
and/or optimal.
