Is it a proper texfile (*.tex) or a Latex Class definition (*.cls) or a
Style-File (*.sty)?
Try to reLyX the tex file to get *.lyx out of *.tex and user this as your
Template.
(A Class definition would need a LyX layout file, a LaTeX Style could be
called with \usepackage{*.sty} in the preamble.
