According to the PXE specification
(http://www.pix.net/software/pxeboot/archive/pxespec.pdf):

#define PXENV_STATUS_UNDI_CANNOT_INITIALIZE_NIC 0x63

Are you sure pxelinux.0 works in exactly the same VM?  I'm thinking
their might be a difference in the VM's configuration that explains
this.
