A couple of things to investigate:

1. Make sure that the first line of /etc/adjtime contains very small
values.  In fact, you might just want to replace the first line with
"0.0 0 0.0".

2. Take a look at the clock= settings in
/usr/src/linux/Documentation/kernel-parameters.txt.  Maybe you need
clock=pit.
