What a pity it doesn't work... I'm running a few of those rtl8139too on 2.4 kernels (not a single on Debian, though) and they run very well here (as well as a cheapie can). Firstly, nothing wrong with 2.4 in general and this NIC. Secondly, the module seems being loaded. Have you tried a modconf, uninstalling and re-installing the rtl8139 ? I'd be curious if the re-install succeeds. If there were dependencies (mii), it should come up with it.
