I had problems on Opteron Proliant server with CentOS. CentOS start cpufreqd by defaut, and virtual machines or VMware didn't like that the CPU often changes it's frequency. Even NTP was not sufficient to synchronize my vms. Try to look toward these ACPI things (powernowd, cpufreqd...).
