I should have mentioned that my first post was with kernel-source-2.4.21-2 and using gcc-3.2 for both kernel and openafs, by setting cc pointing to gcc pointing to gcc-3.2.
Short update: just now I tested with a vanilla kernel-source-2.4.21 from a kernel.org mirror and it worked, the kernel-image, modules-image and kernel-headers processed fine. So something in the debian kernel-source seems to break compilation of openafs-modules.
