Hello,
AFAIK apt-utils is something new with Woody - it will be installed when
you upgrade, but it is not already present at the time of the upgrade
(if you see what I mean).  It shouldn't do any damage to your sytem to
not have it there - it's function is to assist apt in making intelligent
choices.  If you want to retry the upgrade, change your sources.list,
and apt-get install apt-utils first, then proceed with the regular
dist-upgrade.  Should be fine, athough there are a number of other small
issues that have to be addressed during the upgrade.
