w/o looking at the man page ... Upgrade upgrades packages that you have installed. If new dependencies will remove existing packages, install new packages that you haven't yet asked to be installed, or somehow "break" an installed package, the package is "held back" dist-upgrade accepts the reality that during a large upgrade (like between distributions, say potato and woody) the above will happen a lot, and compensates for this automatically.
