Upgrade upgrades packages that you have installed.  If new
dependencies will remove existing packages, install new packages that
you haven't yet asked to be installed, or somehow "break" an installed
package, the package is "held back"
 
dist-upgrade accepts the reality that during a large upgrade (like
between distributions, say potato and woody) the above will happen a
lot, and compensates for this automatically.  Sometimes it bites you
in the ass though (I've had great luck with it knock on wood :)

Yup.

BTW, I always add the following to /etc/apt/apt.conf:

  Apt::Get::Show-Upgraded "true";

Makes for less sleepless nights :)
