Did you follow
http://ndiswrapper.sourceforge.net/wiki/index.php?Installation?

I think that you may have to start compiling the kernel to make sure
that the necessary headers are present.

I have had ndiswrapper working on kernel 2.6.6, but I have not got it to
recognise the hardware in 2.6.8 yet. Still work in progress.
