That should work, although. Can you check /var/log/syslog or
/var/log/mysql.err for the reason mysqld did not startup?

"apt-get -u upgrade" should list mysql-server (4.0.x) as upgrade candidate.
Does it? If you, please send me the output of whatever happens when you
continue with apt-get.
