It seems that rtc-cmos is a part of the new RTC subsystem of the kernel, while rtc is the old driver. See Documentation/rtc.txt in kernel source: http://lxr.linux.no/linux+v2.6.25.10/Documentation/rtc.txt Whether rtc-cmos will work everywhere rtc works, I cannot say. But in my experience, there are a lot of systems where rtc does not work currently (unless it has been fixed in a recent kernel).
