The company announces that it has entered into an agree-
ment with Tarquin Ltd., a Bahamian Corporation, a part of
the Drake International Group, whereby the Drake Inter-
national Group shall test and evaluate the Mentor On Call
E-Learning System (the ``System'') in consideration of
691,115 warrants to acquire Mentor common stock at an
exercise price of $2.00 per share.  The testing and eval-
uation of the System will commence no later than March 17,
2000 and be completed within a 90 day period thereafter.

January 28, 2000
Key article 2...

MNOC received a Term Sheet from Thompson Kernaghan & Co.
Limited of 365 Bay Street, Toronto, Ontario, Canada dated
January 24, 2000 whereby Thompson Kernaghan & Co. agreed
to act as Placement Agent to fund MNOC $500,000.00 with
closing scheduled for January 31, 2000.
